1. Introduction & Acceptance of Terms

Welcome to Payments Marketplace (accessible at payments-marketplace.com), owned and operated by Payments Marketplace Ltd ("we", "us", or "our"). By accessing or using Payments Marketplace, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all terms, you must not access or use our pre-vetting tools or services.

3. Description of Pre-Vetting Services

Payments Marketplace provides Merchant profile pre-vetting and pre-flight compliance assessment against published and configured acceptance parameters of Payment Service Providers (PSPs). The pre-flight score generated is an indicative readiness assessment based on data provided by you and published PSP risk guidelines.

In these Terms:

• Pre-Vetting, Pre-Flight Check: an automated, indicative comparison of the information you supply against each PSP's published acceptance parameters. It is not underwriting, and it is not an offer or a decision by any PSP.
• Match, Score: an indication of how closely your profile fits a PSP's published parameters at the time of the check. Neither is a prediction or a probability of approval.
• Website Scan: an automated review of your public website, part of which is carried out by artificial intelligence. It may be incomplete or wrong, and it is not a compliance audit or legal advice.
• Anonymised Application: the summary of your profile that we send, at your request, to a PSP you choose. It is an expression of interest and not a formal application for a merchant account.
• Acceptance: a PSP's agreement to be introduced to you and to invite a Formal Application. It is not approval of a merchant account.
• Formal Application: the application you make directly to a PSP after Acceptance, under that PSP's own terms and through its own underwriting.

Important Disclaimer: Pre-Vetting does not guarantee that any PSP will approve a merchant account. A PSP that has given Acceptance may still reject your Formal Application. Its underwriters will carry out their own full underwriting, KYB/KYC verification and credit assessment, may ask for further information, may impose conditions such as pricing, reserves or processing limits, and may decline for any reason. That decision is the PSP's alone, and we are not a party to it.

4. User Responsibilities & Acceptable Use

As a user of Payments Marketplace, you agree and warrant that:

• You will provide accurate, truthful, and non-misleading information regarding your business model, processing history, and compliance status.
• You will not use the service for fraudulent, unlawful, or unauthorized card processing activities.
• You will not attempt to probe, scan, reverse engineer, or exploit vulnerability in the pre-vetting software engine.

5. Intellectual Property Rights

All intellectual property rights in Payments Marketplace, including algorithms, pre-flight scoring methodologies, software code, user interface designs, logos, and trademarks, are owned exclusively by Payments Marketplace Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the app for your internal business evaluation purposes.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Payments Marketplace Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, business interruption, or loss of application opportunities arising from your use of or inability to use Payments Marketplace.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
